Terms of Service

1. Definitions

• "Company," "We," "Us," "Our" — refers to HMVSoft AI Labs, registered in India, operating at hmvsoft.com.
• "Services" — refers to all products, platforms, APIs, and software operated by HMVSoft AI Labs, including BookOnWA.
• "User," "You," "Your" — refers to any individual or business entity accessing or using our Services.
• "Content" — refers to all text, data, graphics, images, or other material uploaded, submitted, or transmitted through our Services.
• "Subscription" — refers to a paid or trial plan granting access to our Services.

2. Eligibility & Account Registration

• You must be at least 18 years of age to use our Services.
• You must provide accurate, complete, and up-to-date registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are solely responsible for all activity that occurs under your account.
• Notify us immediately at support@hmvsoft.com if you suspect unauthorized access to your account.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon intellectual property rights of others
• Transmit any malicious code, viruses, or harmful software
• Attempt unauthorized access to our systems, networks, or servers
• Use our Services to send spam, unsolicited commercial messages, or phishing content
• Reverse engineer, decompile, or attempt to extract source code from our software
• Resell, sublicense, or transfer access to our Services without written permission
• Use our Services in any way that could damage, disable, or impair the platform
• Collect or harvest any personally identifiable information from our Services
• Impersonate HMVSoft AI Labs, our employees, or other users

4. SaaS Subscription & Billing

• Subscriptions are billed monthly or annually as selected at the time of purchase.
• All prices are in Indian Rupees (INR) unless otherwise stated. Applicable taxes (GST) will be added.
• Free trials are available as indicated on our pricing pages. No credit card required for trial periods.
• Subscriptions auto-renew unless cancelled before the renewal date.
• Refunds are available within 7 days of payment for first-time subscribers. No refunds on renewals or after account suspension due to policy violation.
• We reserve the right to modify pricing with 30 days advance notice to subscribers.

5. Intellectual Property

All content, features, functionality, trademarks, logos, and intellectual property in our Services are owned by HMVSoft AI Labs and are protected under Indian and international intellectual property laws.

You retain ownership of any data or content you upload to our Services. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display that content solely for the purpose of providing our Services to you.

6. Service Availability & SLA

We target 99.9% uptime for our Services. Planned maintenance will be communicated with at least 48 hours advance notice. In the event of unplanned outages:

• We will notify affected users via email and status updates at status.hmvsoft.com.
• Service credits may be issued for downtime exceeding our SLA, subject to verification.
• We are not liable for downtime caused by third-party services, including WhatsApp/Meta APIs.

7. Termination

Either party may terminate the agreement:

• By You: Cancel your subscription at any time from account settings. Access continues until end of billing period.
• By Us: We may suspend or terminate accounts that violate these Terms, with immediate effect for serious violations and 30 days notice otherwise.
• Upon termination, your right to access our Services ceases immediately. You may request export of your data within 30 days of termination.

8. Limitation of Liability

To the maximum extent permitted by law, HMVSoft AI Labs shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, goodwill, data, or business — arising from your use of our Services, even if advised of the possibility of such damages.

Our total aggregate liability to you shall not exceed the amount you paid to us in the 3 months preceding the claim.

9. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Dehradun, Uttarakhand, India.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 14 days before taking effect. Your continued use of our Services after the effective date constitutes acceptance of the updated Terms.
